These terms of use ("Terms") govern access to and use of the B2B platform provided by Adico Construction SRL, hereinafter referred to as the "Provider." The platform offers integrated tools for monitoring material resource allocation, evaluating structural costs, and planning long-term estimates in the field of civil engineering and industrial infrastructure development.

By creating an account and using any module of the platform, the user ("Contractor" or "Beneficiary") confirms that they have read, understood, and fully accept these Terms. If you do not agree with any term, please do not use the platform.

Within these Terms, the following terms have the meanings set out below:

• "Platform" – the set of software modules, including the Resource Monitoring Module, the Long-Term Estimate Planner, and the Structural Cost Evaluation System, accessible through the website adicoconstruction.com.
• "Contractor" – a legal entity or authorized natural person who uses the platform for managing construction and infrastructure projects.
• "Input Data" – the information, documents, and specifications provided by the Contractor within the platform.
• "Reports" – the results generated by the platform based on the Input Data, including cost estimates, resource allocations, and financial plans.

The Provider undertakes to maintain the platform in an operational state, except during scheduled maintenance periods or force majeure situations. The Provider will make reasonable efforts to ensure data security and the confidentiality of information transmitted by the Contractor.

The Provider does not guarantee that the platform's functionalities will meet all of the Contractor's specific requirements or that the generated results (reports, estimates) will be error-free. The platform is provided "as is," and the Provider assumes no liability for decisions made by the Contractor based on these results.

Service Availability

The Provider will notify the Contractor at least 48 hours before any scheduled maintenance that could affect access to the platform. In the event of unforeseen technical failures, the Provider will act promptly to remedy them but cannot be held liable for indirect losses caused by temporary interruptions.

The Contractor is responsible for the accuracy and completeness of the Input Data entered into the platform. Any error or omission in the provided data may affect the quality of the generated reports, and the Provider assumes no liability for such consequences.

The Contractor undertakes not to use the platform for illegal purposes or contrary to good morals and not to attempt to access restricted areas of the system without express authorization.

• The Contractor will maintain the confidentiality of login credentials and will immediately notify the Provider of any unauthorized use of the account.
• The Contractor will not reproduce, distribute, or modify the platform's modules without the prior written consent of the Provider.

The Provider shall not be liable for direct, indirect, incidental, special, or consequential damages arising from the use or inability to use the platform, including, but not limited to, loss of profits, business interruption, or loss of data, even if advised of the possibility of such damages.

The total liability of the Provider to the Contractor for any claim related to these Terms or the use of the platform shall not exceed the total amount of fees paid by the Contractor in the 12 months preceding the event giving rise to the claim.

This limitation does not apply in cases of fraud, bodily injury, or death caused by the Provider's negligence.

These Terms take effect on the date of account creation and remain valid for the entire duration of the Contractor's use of the platform. The Provider may suspend or terminate the Contractor's access to the platform in the event of a material breach of any term of these Terms, including, but not limited to, providing false data or abusive use of the system.

The Contractor may request termination of use at any time by written notice to the email address info@adicoconstruction.com. Upon termination, the Contractor will lose access to data stored on the platform, unless the Provider is legally required to retain it for an additional period.

The Provider reserves the right to modify these Terms at any time, with prior notice to Contractors via the platform or by email, at least 30 days before the changes take effect. If the Contractor does not agree with the changes, they may cease using the platform before the effective date.

Continued use of the platform after the modification date constitutes tacit acceptance of the new terms.

These Terms are governed by Romanian law. Any dispute that cannot be resolved amicably shall be settled by the competent courts of Romania.

These Terms constitute the entire agreement between the parties regarding the use of the platform and supersede any prior agreements, whether written or oral.
